1. Acceptance of these terms
These Terms of Use govern your access to and use of solida.bio and any page served from it (the "Site"). The Site is operated by Solida, a Delaware corporation in formation ("Solida", "we", "us"). By accessing or using the Site you agree to these terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Site.
You must be at least 18 years old and legally able to enter into a contract to use the Site. The Site is not directed to children.
2. Nature of the information on this Site
Solida is a preclinical stage biotechnology company. The Site describes research that has been conducted in animal models. Nothing on the Site is medical, scientific, legal, financial or investment advice, a treatment recommendation, or an offer of a product or therapy.
Our programs, including SO-001, are investigational. No Solida program has been approved by the FDA or by any other regulatory authority, and none has been tested in humans. Nothing on the Site should be read as a claim of safety or efficacy in humans.
Do not use the Site to diagnose or treat any condition, and do not delay or disregard professional medical advice because of anything you read here.
3. Not an offer of securities
Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security or interest in Solida, and nothing on the Site forms the basis of any contract or investment decision. Any such offer would be made only through separate documentation, to eligible investors, and in compliance with applicable securities law.
4. Forward looking statements
Statements on the Site about future development, timelines, regulatory strategy, market size or potential results are forward looking. They reflect our current expectations and involve significant risk and uncertainty, including the risk that preclinical results do not translate to humans. Actual results may differ materially. We undertake no obligation to update these statements.
5. Permitted use and restrictions
You may use the Site for lawful, informational purposes only. You agree not to:
- violate any applicable law or regulation, or infringe anyone's rights;
- attempt to gain unauthorized access to the Site, its servers, or any related system or network, or probe or test their security;
- interfere with or disrupt the operation, integrity or performance of the Site;
- use any robot, spider, scraper or other automated means to access, extract or index the Site or its content, except for search engine crawlers operating in good faith;
- use Site content to train, fine tune, evaluate or otherwise develop machine learning or generative artificial intelligence models or datasets, without our prior written permission;
- frame, mirror, or reproduce the Site or substantial parts of it;
- transmit malware or any other harmful code, or impersonate any person or misrepresent your affiliation with any person or entity;
- remove or obscure any proprietary notice on the Site.
6. Intellectual property
The Site and its content, including text, graphics, images, data presentations, the Solida name, logo and brand, and the underlying code, are owned by Solida or its licensors and are protected by intellectual property law. Patent applications covering our formulations, processes and methods of treatment are held by the applicable institutions and are not licensed to you by anything on the Site.
We grant you a limited, revocable, non exclusive, non transferable, non sublicensable licence to access and view the Site for your own informational use. All other rights are reserved. Nothing on the Site grants you any licence to any patent, trademark, trade secret or other right of Solida by implication, estoppel or otherwise.
7. What you send us
Do not send us confidential, proprietary or personal health information through the contact form or by email. The Site is not a secure channel and we have no way to protect what arrives through it as confidential.
Any idea, suggestion, proposal, feedback, material or other submission you send us without our request is treated as non confidential and non proprietary, and becomes our property. You grant us a perpetual, irrevocable, worldwide, royalty free, sublicensable licence to use, reproduce, modify and exploit it for any purpose, without restriction, attribution or compensation to you. This does not apply to information exchanged under a signed confidentiality or partnering agreement, which is governed by that agreement.
You confirm that anything you send us is yours to send and does not infringe any third party right.
8. Third party links
The Site may link to sites and resources we do not control, including scientific publications and preprints. We provide those links for convenience only. We do not endorse them, we are not responsible for their content, and your use of them is governed by their own terms.
9. Disclaimers
The Site and its content are provided "as is" and "as available", without warranty of any kind. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non infringement.
We do not warrant that the Site will be uninterrupted, secure or error free, that defects will be corrected, or that the content is accurate, complete or current. Scientific information on the Site reflects our understanding at the time of publication and may be superseded.
10. Limitation of liability
To the fullest extent permitted by law, Solida and its officers, directors, employees, founders, advisers and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to your use of or inability to use the Site, regardless of the theory of liability and even if we were advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability for all claims relating to the Site will not exceed one hundred United States dollars (USD 100). Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.
11. Indemnification
You agree to indemnify and hold harmless Solida and the people listed in section 10 from any claim, loss, liability, cost or expense, including reasonable legal fees, arising out of your use of the Site, your breach of these terms, or your violation of any law or third party right.
12. Dispute resolution and arbitration
Please read this section carefully. It affects how disputes are resolved and limits the forum available to you.
12.1 Informal resolution first
Before starting any proceeding, you agree to contact us at contact@solida.bio with a written description of the dispute and the relief you seek, and to attempt in good faith to resolve it for at least thirty (30) days.
12.2 Binding individual arbitration
If the dispute is not resolved in that period, you and Solida agree that it will be settled by final and binding arbitration before a single arbitrator, administered by the American Arbitration Association under its Consumer Arbitration Rules, or its Commercial Arbitration Rules where the consumer rules do not apply. The seat of the arbitration is Wilmington, Delaware, and the arbitrator applies the law identified in section 14. Judgment on the award may be entered in any court of competent jurisdiction.
12.3 Waiver of jury trial and class actions
You and Solida waive the right to a trial by jury. Claims may be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not consolidate claims or preside over any form of representative proceeding.
12.4 How to opt out
You may opt out of this arbitration agreement by writing to contact@solida.bio with the subject line "Arbitration opt out", within thirty (30) days of your first use of the Site. Opting out does not affect any other part of these terms.
12.5 Exceptions
Either party may bring an individual claim in small claims court, and either party may seek injunctive or equitable relief in court for actual or threatened infringement or misuse of intellectual property or confidential information.
13. Time limit on claims
Any claim arising out of or relating to the Site or these terms must be commenced within one (1) year after the claim arises, or it is permanently barred, except where applicable law prohibits such a limit.
14. Governing law and venue
These terms and any dispute arising from them are governed by the laws of the State of Delaware and applicable United States federal law, without regard to conflict of laws principles. For any dispute not subject to arbitration, you and Solida submit to the exclusive jurisdiction of the state and federal courts located in Delaware, and waive any objection to venue there.
15. Changes to the Site and to these terms
We may modify these terms at any time. The revised version takes effect when posted, and the date at the top of this page will change. Your continued use of the Site after that means you accept the revision. If a change is material we will make reasonable efforts to highlight it.
We may also change, suspend or discontinue any part of the Site at any time, without notice, and we are under no obligation to update its content.
16. Termination
We may suspend or terminate your access to the Site at any time, for any reason, without notice or liability.
17. General
If any provision of these terms is found unenforceable, it will be limited or severed to the minimum extent necessary and the rest will remain in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these terms; we may assign them in connection with a merger, acquisition or sale of assets. These terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Site.
Sections 6, 7, 9, 10, 11, 12, 13, 14 and 17 survive any termination of these terms.
